By accessing or using any SG Wealth website ("Site") or mobile application that makes available our services to clients ("Content App") and the services offered therefrom (the "Services"), you ("you" and, together with all persons accessing or using the Site and/or Content App, the "Users") signify that You have read, understand and agree to be bound by these Terms and Conditions, along with any exhibits, disclosures, addendum or amendments thereto, as the same may be amended or modified from time to time (collectively, the "Terms and Conditions") with SG Wealth Management ("us", "we" or "our"), in all respects with respect to your access and use of the Site and/or Content App. Your use of the Site, Content App and/or Services is subject to our Privacy Policy (defined below).

PLEASE READ THESE TERMS AND CONDITIONS AND THE PRIVACY POLICY CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. THESE INCLUDE, BUT ARE NOT LIMITED TO, VARIOUS LIMITATIONS AND EXCLUSIONS, AND INDEMNITIES.

Your access and use of the Site and/or Content App are subject to these Terms and Conditions and the Privacy Policy. If you are not willing to be bound by each and every term or condition, or if any representation made herein by you is not true, you may not access or use, and must cease accessing or using, the Site, the Content App and the Services.

Amendments and Modifications to these Terms and Conditions

We reserve the right to amend these Terms and Conditions or modify or discontinue any portion of the services or features and functionality provided through the Site and the Content App, from time to time and at any time without prior notice. In the event that any changes are made, the revised terms and conditions shall be posted on the Site and the Content App and such changes will be effective at such time. We further reserve the right to modify or temporarily discontinue your access to the Site, the Content App or portion thereof, or any Services, with or without prior notice to you. You are responsible to check the latest information available herein to inform yourself of any change. Do not access or use the Site or the Content App if you do not agree to any amendments or modifications made to these Terms and Conditions.

Legal Capacity

You represent and warrant that you have the legal capacity to enter into a binding agreement and, in particular, to enter into and comply with these Terms and Conditions. If you are under the age of majority, you are not permitted to access the Site or the Content App nor utilize any Services.

General Use of the Site

You may access the Site or the Content App and use the Services for your personal use in accordance with these Terms and Conditions and applicable law. However, you may not, unless otherwise permitted in writing by us:

Copy, modify, adapt, translate or reverse engineer any portion of the Site or Content App
Remove any copyright, trademark or other proprietary rights notices contained in the Site or Content App
Use any robot, spider, site search/retrieval application or other device to retrieve or index any portion of the Site or Content App
Collect information about Users for unauthorized purposes
Create user accounts by automated means or under false or fraudulent pretenses
Transmit any viruses, worms, defects or other items of a destructive nature

Prohibited Uses

You must not use our Site or Content App:

In any way that breaches any applicable local, national or international law or regulation
In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect
To transmit, or procure the sending of, any unsolicited or unauthorized advertising or promotional material
To knowingly transmit any data or material that contains viruses or other harmful programs

Acceptable Use and Prohibitions

In addition to the general use restrictions above, you specifically agree not to use the Site or Content App:

To impersonate or attempt to impersonate us, our employees, another user or any other person or entity
To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site or Content App
To use any information obtained from the Site or Content App to harass, abuse or harm another person
To make improper use of our support services or submit false reports of abuse or misconduct
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Site or Content App, or which, as determined by us, may harm us or users of the Site or Content App or expose them to liability

We reserve the right to terminate or suspend your access to the Site or Content App if you violate these terms or engage in any prohibited activity.

Proprietary Rights

All content on the Site and Content App, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is our property or the property of our content suppliers and is protected by Canadian and international copyright laws.

Trademarks

"SG Wealth Management" and all related logos, product and service names, designs, and slogans are our trademarks or those of our affiliates or licensors. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site or Content App are the trademarks of their respective owners.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Content App strictly in accordance with these Terms and Conditions. This license does not include any right to:

Resale or commercial use of the Site, Content App or its contents
Any derivative use of the Site, Content App or its contents
Any downloading or copying of information for the benefit of another party
Any use of data mining, robots, or similar data gathering and extraction tools

Termination of Accounts

We may terminate or suspend your access to the Site or Content App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions. Upon termination, your right to use the Site or Content App will immediately cease.

Disclaimers and Limitation of Liability

Important Notice

The Site and Content App are provided on an "AS IS" and "AS AVAILABLE" basis. We make no representations or warranties of any kind, express or implied, as to the operation of the Site, Content App, or the information, content, materials, or Services included on the Site or Content App.

No Warranty

To the fullest extent permissible by applicable law, we disclaim all warranties, express or implied, including but not limited to:

Implied warranties of merchantability and fitness for a particular purpose
Warranties that the Site or Content App will be uninterrupted or error-free
Warranties that defects will be corrected
Warranties regarding the accuracy, reliability, or completeness of information

Limitation of Liability

In no event will we, our affiliates, or our licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Site or Content App, including:

Any indirect, special, incidental, or consequential damages
Loss of profits, revenue, data, or use
Loss of goodwill or business opportunity
Any damages resulting from unauthorized access to or use of our servers

General Terms

Governing Law and Jurisdiction

These Terms and Conditions and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Dispute Resolution

Any disputes arising from these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

Severability

If any provision of these Terms and Conditions is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect.

Waiver

No waiver by us of any term or condition set out in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

Entire Agreement

These Terms and Conditions and our Privacy Policy constitute the sole and entire agreement between you and us regarding the Site and Content App and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

Changes to Terms and Conditions

We reserve the right to revise and update these Terms and Conditions from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Site or Content App following the posting of revised Terms and Conditions means that you accept and agree to the changes.
